VIACAP – TERMS & CONDITIONS OF USE

1. INTRODUCTION

These Terms & Conditions ("Terms") govern access to and use of the Viacap platform, available at viacap.io (the "Platform"), operated by Ecommventures Ltd, a company incorporated in England and Wales, with registered office at 27 Old Gloucester Street, London WC1N 3AX ("Viacap", "we", "us").

By accessing or using the Platform, you ("User", "you") agree to be bound by these Terms and our Privacy Policy.

If you do not agree, you must not use the Platform.

2. NATURE OF THE SERVICE

Viacap provides a data intelligence platform covering European real estate markets, including:

• Institutional investor data
• Transaction and deal intelligence
• Market insights and analytics
• Related professional information (the "Data")

The Platform is provided on a subscription or licensed access basis, not sold outright.

All access to the Platform constitutes a limited, non-exclusive, non-transferable licence to use the Data in accordance with these Terms.

3. PERMITTED USE

You may use the Platform and Data:

• For your internal business purposes
• In connection with professional investment, advisory, or research activities
• In compliance with all applicable laws and regulations

4. PROHIBITED USE

You must not:

• Copy, reproduce, extract, or scrape substantial portions of the Data
• Resell, sublicense, distribute, or make the Data available to third parties
• Upload the Data into external databases, CRMs, or competing platforms
• Use the Data to build or train a competing product or service
• Use automated tools (bots, crawlers, scripts) to access or extract Data
• Use the Data for unsolicited mass outreach, spam, or unlawful marketing
• Reverse engineer, decompile, or attempt to replicate the Platform

Any breach of this clause may result in immediate termination of access and legal action.

5. DATA SOURCING & COMPLIANCE

Viacap Data may be derived from:

• Publicly available sources
• Market disclosures and industry publications
• Proprietary analysis and aggregation

While we take reasonable care in compiling Data:

• We do not guarantee completeness, accuracy, or timeliness
• Data reflects best available information, not verified fact in all cases

User Responsibility

You are solely responsible for:

• Ensuring your use of the Data complies with applicable laws, including GDPR and ePrivacy / PECR rules
• Verifying information before relying on it

Viacap shall not be responsible for how you use the Data.

6. DATA PROTECTION

Viacap processes personal data in accordance with its Privacy Policy.

Where Data includes professional contact details:

• It is intended strictly for B2B professional use
• It must not be used in a way that infringes privacy or marketing laws

You agree to act as an independent data controller in your use of such data.

7. ACCOUNTS & ACCESS

To access certain features, you may be required to create an account.

You agree to:

• Provide accurate information
• Maintain confidentiality of login credentials
• Notify us of any unauthorised access

You are responsible for all activity under your account.

We reserve the right to suspend or terminate accounts for misuse.

8. SUBSCRIPTIONS, FEES & PAYMENTS

Access to the Platform may be subject to subscription fees.

Where applicable:

• Subscriptions renew automatically unless cancelled
• Fees are payable in advance via our payment provider (e.g. Stripe)
• Prices may be updated with reasonable notice

Failure to pay may result in suspension or termination of access.

9. CANCELLATIONS & REFUNDS

Unless otherwise stated:

• Fees are non-refundable once access to the Platform has been granted
• You may cancel future renewals in accordance with your subscription terms

10. INTELLECTUAL PROPERTY

All rights in the Platform, including:

• Data structure and database
• Design and content
• Matching logic and scoring methodologies

are owned by Viacap or its licensors.

No rights are transferred to you other than the limited licence granted under these Terms.

11. AVAILABILITY & SERVICE CHANGES

We may:

• Modify, update, or discontinue features
• Expand or reduce data coverage
• Improve or change the Platform over time

We do not guarantee uninterrupted or error-free access.

12. DISCLAIMER

The Platform and Data are provided "as is" and "as available".

To the maximum extent permitted by law, we disclaim:

• All warranties of accuracy, completeness, or fitness for purpose
• Any guarantee of business outcomes or results
• Any guarantee of continuous availability

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• Viacap shall not be liable for any indirect, incidental, or consequential losses (including loss of profit, business, or opportunity)
• Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim

Nothing in these Terms excludes liability for fraud, death, or personal injury where prohibited by law.

14. TERMINATION

We may suspend or terminate your access:

• If you breach these Terms
• If we reasonably believe misuse or unlawful activity has occurred

Upon termination:

• Your licence to use the Platform ends immediately
• You must cease all use of the Data

15. FORCE MAJEURE

We shall not be liable for failure to perform due to events beyond our control, including:

• Natural disasters
• Government actions
• Infrastructure or network failures

16. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of England and Wales.

The courts of England shall have exclusive jurisdiction.

17. CHANGES TO THESE TERMS

We may update these Terms from time to time.

Continued use of the Platform constitutes acceptance of the updated Terms.
